1. Why did you sell Imaging On Call to RadNet?

Many of our customers have told us over the years that they are concerned about the stability of a small(er) Teleradiology Company surviving in today’s radiology market. This acquisition has married the largest fixed site radiology service with a leading Teleradiolgy company. As part of RadNet, Imaging On Call’s product will be positioned as a premium product offered by a great company. RadNet has been in the business of radiology for over 25 years. With RadNet the product portfolio will include a complete end-to-end radiology service offering that can be customized to fit any radiology enterprise. We’re excited that RadNet sees the same value in Imaging On Call as all of us do. Together, we’re poised to take the product to the next level.

2. I like the small feel of Imaging On Call. What will it be like with RadNet?

While RadNet is a larger company than Imaging On Call, Imaging On Call will be a wholly owned subsidiary of RadNet. In this model, IOC will continue to be the same company that you have trusted over the years but now has the added resources and scalability that a larger radiology network can offer.

In simple terms, IOC remains focused on two things: customer success and making our client’s job easier. RadNet prides itself on making its customers happy and on dedicating a robust research and development budget to innovation. RadNet brings a wealth of tools and resources to the combined business and can ensure that the service you have come to know and love will be nurtured and supported in the future.

3. What major changes should I expect?

IOC will be utilizing the same clinical systems and phone systems that are currently in place for the near term. You will continue to receive your reports the same way that you always have and our contact information has not changed. We expect in the months ahead that we will be able to take advantage of the infrastructure that RadNet has in place. However, this will be a well thought out series of events and will be clearly communicated to our client base well in advance to any changes.

4. Will the Imaging On Call employees become RadNeT employees?

Yes! The team you’ve come to know will become part of RadNet. As RadNet employees, they’ll enjoy an expanded employee benefits program and many opportunities for personal growth as part of the larger organization.

Some highlights:

  • Brian Phelan will be the leader of Imaging On Call. Playing a pivotal role in both the IOC operations and assisting in the execution of larger strategic initiatives of RadNet.
  • Sean Kowaliw’s workflow and Licensing/ Credentialing teams will continue to be lead by Janine Purcell and Paula Wyda respectively. Allowing us to continue to offer the service level you have come to expect.
  • Howard Reis, will continue to lead our sales initiatives and work with the greater RadNet sales and marketing team to extend our product offerings.

5. Was Imaging On Call looking to be acquired?

Our first priority has always been to offer the highest quality service possible. In today’s radiology market it is increasingly difficult for small teleradiology companies to continue to recruit top radiologists and offer the flexible pricing that the market demands. Looking into the future IOC saw a great opportunity with RadNet. This acquisition will help IOC in three very important ways:

  1. Infrastructure maturity and reliability. RadNet has a robust infrastructure and IT staff that will allow us to maximize up time and eliminate system stability issues.
  2. Financial Flexibility that will allow recruiting of radiologists and investment in maintaining our strict Turn Around Time requirements
  3. Instant ability to add a broad spectrum of daytime subspecialty radiologists.

6. I have seen other teleradiology companies acquired recently. Is this any different?

Yes, the acquisition of IOC by RadNet will not change the personalized and customer focused service that IOC has always stood for. Although RadNet is a publicly traded radiology business IOC will continue to operate as a small business and will not have the look and feel of a big box radiology service.

7.  Are there any changes to our contract that we need to be aware of?

The IOC management team will be reaching out to each individual contract holder to have specific conversations with you about your existing contract. There will be no changes to the terms and conditions of your contract but we do want to take this opportunity to ensure that we are providing the proper service that fits all of your radiology needs.
